This Licensing Agreement is between R.E.A.D. Intervention and the Registered User (the “Parties’). By agreeing to the terms of use, the Register User agrees to the following:
1.1 License. Subject to the terms and conditions of this Agreement, R.E.A.D. Intervention grants the Registered User a nonexclusive and nontransferable license to use and access R.E.A.D. Intervention’s online training videos and digital materials (the “Materials”). Registered User shall access all materials solely for the use of Registered User, and for no other purpose.
1.2 Restrictions. Registered User shall not: (a) use the Materials or any R.E.A.D. Intervention content to create any similar application, service, data, or documentation or for any purpose other than user’s own use, (b) decompile, disassemble or otherwise reverse engineer any technology employed to create the Materials, or use any similar means to discover the source code or trade secrets therein, or otherwise circumvent any technological measure that controls access to the Materials, (c) reproduce, create derivative works of or otherwise copy or modify any of the Materials, (d) use any of the Materials for any revenue-earning, commercial purpose, or (e) permit or facilitate any third party to do any of the foregoing.
1.3 Content. User agrees that the Materials contain Content provided by R.E.A.D. Intervention, that such Content is the sole property of R.E.A.D. Intervention, and that other than with respect to the limited license granted to Registered User herein, all rights, title and interest in and to the Materials and its content, including all rights under copyright, trademark, and patent laws (IP Protection Laws), resides solely with R.E.A.D. Intervention. The term Content includes, without limitation, any services, videos, audio clips, written content, comments, information, data, assessments, text, photographs, software, graphics, and interactive features generated, provided, or otherwise made accessible by R.E.A.D. Intervention. Registered User shall abide by all copyright notices, information, and restrictions contained in any such Content. User shall not sell, license, sublicense, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, create derivative works from or otherwise commercially exploit any Content. R.E.A.D. Intervention reserves the right to remove or modify any Content at any time for any reason. Except for the limited rights and licenses expressly granted hereunder, no other license is granted and no other use is permitted to Registered User.
